TERMS OF SERVICE

1. Acceptance of Terms
By accessing or using the Cozy Llama Design Co LLC website, contacting us through our website or communication channels, signing a design agreement, purchasing services, or otherwise engaging Cozy Llama Design Co LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service, our Privacy Policy (available at https://www.cozyllamadesign.com/privacy-policy), and all applicable federal, state, and local laws.
Clients who purchase or engage design services from Cozy Llama Design Co LLC may be required to enter into one or more separate Design Agreements, Proposals, Estimates, Project Authorizations, or other written contracts that contain additional terms, conditions, responsibilities, limitations, payment obligations, and project-specific requirements. Such agreements are incorporated by reference into these Terms of Service. In the event of any conflict between these Terms of Service and a signed written agreement, the signed agreement shall control.
If you do not agree to these Terms, you should discontinue use of our website and services.
2. Website Information Disclaimer
The content provided on our website, social media accounts, newsletters, blogs, and other communications is intended solely for general informational and educational purposes.
Nothing contained on our website or in our marketing materials constitutes architectural, engineering, construction, legal, financial, code-compliance, permitting, or other professional advice. Reliance on any information provided through our website is at your own risk.
3. Scope of Services
Cozy Llama Design Co LLC provides professional interior design, decorating, space planning, project coordination, furnishing selection, and related consulting services.
Services are limited to those specifically described in the applicable Design Agreement, Proposal, Estimate, Invoice, or other written communication.
Client-Supplied Information
Clients are responsible for providing accurate measurements, photographs, plans, budgets, project requirements, and other information necessary to perform services.
By submitting photographs, floor plans, drawings, measurements, inspiration images, or other materials, you represent that you have the legal right to provide such materials and grant Cozy Llama Design Co LLC a non-exclusive license to use them solely for evaluating, planning, and performing requested services.
Project Approvals and Communications
Client acknowledges that approvals, selections, scheduling decisions, change requests, project direction, and other project-related communications delivered verbally, by telephone, email, SMS/text message, or other electronic means may be reasonably relied upon by Cozy Llama Design Co LLC in performing services.
Such communications may result in billable time, procurement activities, scheduling commitments, design modifications, or other project-related costs for which the client remains financially responsible.
4. Fees and Payment Terms
Payment Obligations
Client agrees to pay Cozy Llama Design Co LLC for all services rendered, billable hours incurred, products procured, reimbursable expenses, and other charges identified in the applicable agreement or invoice.
Payment Authorization
Payments may be processed through secure third-party payment processors. By providing payment credentials, you authorize us and our designated payment processors to charge the amounts due.
You agree to maintain accurate and current billing information.
Late Payments
We reserve the right to suspend services, halt procurement activities, delay project deliverables, or terminate ongoing work if any invoice remains unpaid after its due date.
Past-due balances may incur interest at a rate of 1.5% per month or the maximum rate permitted by Virginia law, whichever is lower.
Billing Disputes
Any dispute regarding an invoice must be submitted in writing within ten (10) business days of the invoice date. Undisputed portions of invoices remain due and payable according to the original payment terms.
Refund Policy
Because design services, recommendations, plans, and procured items are customized specifically for each client and project, all design fees, consultation fees, retainers, and amounts paid for services rendered are non-refundable once work has commenced or purchases have been initiated, except as expressly provided in a separate written agreement.
5. Electronic Communications Consent
By communicating with us electronically, including through email, website forms, electronic signatures, SMS/text messaging, online portals, or other electronic means, you consent to receive communications electronically.
You agree that electronic communications, approvals, authorizations, records, signatures, and agreements satisfy any legal requirement that such communications be in writing.
6. SMS and Mobile Communications
By voluntarily providing your mobile phone number and opting into SMS communications, you consent to receive text messages from Cozy Llama Design Co LLC regarding project updates, scheduling, appointments, deliveries, invoices, payment reminders, design selections, and other service-related communications.

Consent to receive SMS communications is voluntary and is not a condition of purchasing services.

Frequency
Message frequency varies depending upon project activity and communication needs.

7. Website Use and Cookie Acknowledgement

Clients contract directly and independently with such third parties. Cozy Llama Design Co LLC does not warrant, guarantee, supervise, control, or assume responsibility for the workmanship, conduct, timelines, pricing, warranties, licensing, insurance coverage, code compliance, or performance of any third-party contractor or vendor.
9. Intellectual Property and Portfolio Rights
All design concepts, drawings, renderings, specifications, floor plans, presentations, mood boards, documents, graphics, and related materials created by Cozy Llama Design Co LLC remain the exclusive intellectual property of Cozy Llama Design Co LLC unless otherwise agreed in writing.
Upon full payment of all amounts due, the client receives a non-exclusive, non-transferable license to use the final design deliverables solely for the client's project and personal use. No ownership rights are transferred.
Cozy Llama Design Co LLC reserves the perpetual right to photograph, document, publish, display, reproduce, and promote completed projects for portfolio, website, social media, advertising, educational, and marketing purposes.
Unless the client separately provides written authorization, Cozy Llama Design Co LLC will not intentionally identify the client by name, disclose personal contact information, disclose private financial information, or otherwise reveal personally identifying information in connection with project marketing materials.
10. Disclaimer of Warranties
To the fullest extent permitted by law, all services, recommendations, designs, consultations, website content, and related materials are provided on an "as-is" and "as-available" basis.
Cozy Llama Design Co LLC disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or suitability for a specific outcome.
We do not guarantee that any design recommendation, product selection, contractor, supplier, timeline, budget estimate, or project outcome will meet specific expectations or objectives.
11. Limitation of Liability
To the fullest extent permitted by Virginia law, Cozy Llama Design Co LLC shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or relating to the use of our website, services, recommendations, project coordination activities, communications, or deliverables.
Except in cases of gross negligence, willful misconduct, or liability that cannot legally be excluded, the total cumulative liability of Cozy Llama Design Co LLC for any claim shall not exceed the total amount actually paid by the client to Cozy Llama Design Co LLC for the services directly giving rise to the claim.
12. Force Majeure
Cozy Llama Design Co LLC shall not be liable for any delay, interruption, or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, severe weather, natural disasters, labor shortages, supply chain disruptions, transportation delays, material shortages, utility interruptions, governmental actions, public health emergencies, pandemics, cyber incidents, or similar events.
Project schedules, procurement timelines, and completion dates may be adjusted accordingly.
13. Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia without regard to conflict-of-law principles.
Any legal action, proceeding, or dispute arising out of or relating to these Terms or our services shall be brought exclusively in a court of competent jurisdiction located in Stafford County, Virginia, to the extent permitted by law.
14. Changes to These Terms
We reserve the right to modify or update these Terms of Service at any time. Updated versions will be posted on our website with a revised Effective Date.
Continued use of our website or services following publication of revised Terms constitutes acceptance of the updated Terms.
